Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Jenria Infotech LLP ("Company", "we", "us", or "our"), governing your access to and use of LinShield, a zero-trust security platform for Linux server management ("Service"). Our Service is accessible at linshield.com (marketing website) and app.linshield.com (application platform).

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, Refund Policy, and Acceptable Use Policy. If you do not agree to these Terms, you must not access or use the Service.

Definitions

For the purposes of these Terms:

• "Service" means the LinShield platform, including all software, APIs, websites, and services provided by us
• "User" or "Customer" means any individual or entity that accesses or uses the Service
• "Subscription" means the paid access to the Service features
• "Transaction" means any payment made through our payment processing systems
• "Transaction Amount" means the amount paid by you for the Service
• "Payment Instrument" means credit cards, debit cards, UPI, net banking, or other payment methods
• "Chargeback" means a reversal of a transaction requested by your bank or card issuer
• "Facility Provider" means banks, payment networks, and other entities that facilitate payment processing

Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• If acting on behalf of an organization, have the authority to bind that organization to these Terms
• Provide true, accurate, current, and complete information as required during registration

By using our Service, you represent and warrant that you meet all eligibility requirements. If you provide any information that is untrue, inaccurate, not updated, or incomplete, we have the right to suspend or terminate your account.

Description of Service

LinShield is a zero-trust security platform that provides:

• Server Management: Centralized management of Linux servers with role-based access control
• SSH Key Management: Secure generation, storage, and deployment of SSH keys
• Terminal Access: Web-based secure terminal access to connected servers
• File Transfer: Secure file transfer capabilities between your local machine and servers
• Security Monitoring: Real-time security monitoring and audit logging
• Server Roles: Pre-configured security roles and automation for server hardening
• Multi-Factor Authentication: Enhanced security through TOTP and WebAuthn/Passkeys

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or fit for your specific business purposes.

Account Registration and Security

To access certain features of our Service, you must create an account. When creating an account:

• You must provide accurate, current, and complete information
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account
• You must not share your account credentials with unauthorized individuals

Account Types

• Master Admin: Primary account holder with full administrative privileges
• Sub Admin: Additional administrator with delegated permissions

Subscription and Payments

Free Trial

We offer a 7-day free trial that includes server management, terminal access, and file transfer features. Server Roles and additional administrators are not included in the trial period. No payment information is required to start the trial.

Pricing

Our subscription is billed on a monthly basis in US Dollars (USD). Current pricing:

Additional addons and features (such as AI assistance, extra SSH key quotas, and other enhancements) are available at current pricing displayed within the application. All prices are in US Dollars (USD). We reserve the right to modify pricing with 30 days prior notice to existing customers.

Payment Processing

Payments are processed securely through Razorpay, a licensed Payment Aggregator regulated by the Reserve Bank of India (RBI). By providing payment information, you:

• Authorize us to charge your payment method for all fees incurred
• Agree to provide current, complete, and accurate billing information
• Consent to share your information with our payment processor as required
• Acknowledge that all transactions are processed in US Dollars (USD)
• Accept that currency conversion rates (if applicable) are determined by your card issuer or bank

Subscription Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. We will send a reminder email before your subscription renews.

Failed Payments

If a payment fails:

• We will attempt to charge your payment method up to 3 times
• You will receive email notifications about failed payments
• Service will continue during a 7-day grace period
• After the grace period, your subscription will be suspended
• You can reactivate by updating payment method and clearing outstanding dues

Refunds and Cancellation

Exception to Right to Cancel

Your right to cancel does not apply to the supply of Digital Content that you have started to download, stream, or otherwise acquire, and to Products which you have had the benefit of.

Subscription Renewals

Your right to cancel and receive a refund applies only to your initial subscription purchase. There are no refunds on subscription renewals or unused subscription periods. To avoid being charged for the next period, you must cancel at least 48 hours before the renewal date.

You may cancel your subscription at any time. Upon cancellation:

• Your subscription will not renew at the end of the current billing period
• You retain access to paid features until the end of your current billing period
• No refunds are issued for unused subscription periods
• Your data will be retained for 30 days after subscription ends

Chargebacks and Payment Disputes

We take payment disputes seriously. If you have concerns about a charge:

• Contact Us First: Please contact us at [email protected] before initiating a chargeback with your bank
• Provide Documentation: We may request transaction details, receipts, or other information to resolve disputes
• Response Time: We will respond to dispute inquiries within 5 business days

Chargeback Policy

If you initiate a chargeback with your bank or card issuer:

• Your account may be suspended pending investigation
• We reserve the right to dispute the chargeback with documentation
• You may be liable for chargeback fees and associated costs
• Fraudulent chargebacks may result in account termination and legal action

User Responsibilities

As a user of our Service, you agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws
• Maintain proper security measures on your connected servers
• Not use the Service to gain unauthorized access to any system or network
• Not attempt to probe, scan, or test the vulnerability of our systems
• Not interfere with or disrupt the integrity or performance of the Service
• Not transmit any malware, viruses, or other malicious code
• Not use the Service for any illegal activities including but not limited to hacking, phishing, or fraud
• Retain transaction records and invoices for a period as required by applicable law
• Comply with our Acceptable Use Policy

Prohibited Activities

You shall not use our Service for, or in connection with, any of the following prohibited activities:

• Adult content, pornography, or sexually explicit materials
• Gambling, betting, lottery, or games of chance
• Sale of drugs, drug paraphernalia, or controlled substances
• Weapons, ammunition, or explosives
• Counterfeit goods or intellectual property infringement
• Virtual currency, cryptocurrency, or crypto products (NFTs, tokens)
• Money laundering or financial fraud
• Multi-level marketing schemes or pyramid schemes
• Hacking tools, malware distribution, or cybercrime
• Activities threatening national security or public order
• Any activity prohibited under Indian law or international sanctions

Violation of these prohibitions will result in immediate account termination without refund.

Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are owned by Jenria Infotech LLP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent. You shall not:

• Copy, modify, or create derivative works of our Service
• Reverse engineer, decompile, or disassemble our software
• Remove or alter any proprietary notices or labels
• Use our trademarks without authorization

Your Content

You retain ownership of any content, data, or information you submit to the Service. By using our Service, you grant us a limited license to use, store, and process your content solely to provide and improve our services.

Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Sharing with Payment Processor

By using our Service, you expressly consent to:

• Sharing your information with Razorpay for payment processing
• Sharing transaction data with banks and card networks as required
• Processing of KYC information for regulatory compliance
• Sharing information with government authorities when required by law

Transaction Records

We retain transaction records for a period of 10 years as required by applicable laws and regulations. You should maintain your own records of transactions for your reference.

Security Compliance

We implement security measures aligned with:

• PCI DSS (Payment Card Industry Data Security Standard)
• SOC 2 Type II security controls
• ISO 27001 information security management practices
• RBI Payment Aggregator Guidelines

Service Availability and Modifications

Availability

We strive to maintain high availability of our Service. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any loss or damage resulting from service interruptions.

Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also modify these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

Termination

Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion through your account settings or by contacting us at [email protected].

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• You engage in fraudulent or illegal activities
• You fail to pay any amounts due
• Your use poses a security risk to the Service or other users
• We receive instructions from regulatory authorities or payment processors
• There are suspicious circumstances surrounding your activities
• There are excessive disputes, refunds, or chargebacks

Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We will retain your data for 30 days, after which it will be permanently deleted
• You remain liable for any fees or obligations incurred before termination
• Provisions that should survive termination will remain in effect

Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or availability of the Service
• Warranties that the Service will meet your requirements or be error-free
• Warranties regarding the security or integrity of your data

You acknowledge that you use the Service at your own risk and are responsible for implementing appropriate security measures for your servers and data.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DELAYS OR FAILURES CAUSED BY PAYMENT PROCESSORS, BANKS, OR THIRD PARTIES

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Jenria Infotech LLP and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit or transmit through the Service
• Chargebacks or payment disputes initiated by you
• Any violation of applicable laws or regulations

Customer Grievance Redressal

We are committed to addressing your concerns promptly. Our grievance redressal mechanism:

Response Timeline

• Acknowledgment of complaint: Within 24 hours
• Initial response: Within 5 business days
• Resolution target: Within 15 business days
• Complex issues: Within 30 business days with regular updates

Escalation

If you are not satisfied with our response, you may escalate to:

• Our management team via the same email with "Escalation" in subject
• For payment-related issues, Razorpay's grievance portal at razorpay.com/grievances
• Appropriate regulatory authorities as per applicable law

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in Gujarat, India, in accordance with the Arbitration and Conciliation Act, 1996.

Jurisdiction

For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Gujarat, India.

General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and us.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
• Notices: We may send notices to you via email to the address associated with your account. You may send notices to us at [email protected].
• Electronic Records: These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require physical signatures.
